These Terms of Sale govern your purchases made through our website, levelthebase.com. By placing an order, you agree to be bound by these Terms. Please read them carefully.

  • 1.2. Application of Terms: These Terms of Sale apply exclusively to all sales made via our website levelthebase.com to both consumers and businesses.
  • 1.3. Consumer vs. Business Buyer:
    • A "Consumer" is a natural person acting for purposes which are outside his or her trade, business, craft or profession.
    • A "Business Buyer" is a legal person or a natural person acting for purposes relating to their trade, business, craft or profession.
    • Specific clauses that apply only to Consumers will be clearly indicated.
  • 1.4. Accuracy of Website Information: While we strive to ensure that all information on our website, including product descriptions, pricing, and availability, is accurate, errors may occur. We reserve the right to correct any such errors and to refuse or cancel orders placed based on incorrect information. The binding terms of your purchase are confirmed upon our Order Acceptance Email.

2. Product Information & Suitability

  • 2.1. Product Description: The BASIS adjustable pile system refers to our innovative foundation solution. Our products are offered as individual BASIS adjustable posts (e.g., BASIS-03, BASIS-06, BASIS-08 models), each comprising a Base Plate, a Support Post, Stabilizing Braces, Nuts, and a Connector (top). A complete foundation or base for a structure typically consists of multiple such individual BASIS adjustable posts, chosen and configured by the customer to suit their specific project. Detailed descriptions and specifications for each individual BASIS adjustable post model are provided on the respective product pages on our website.
  • 2.2. Availability: Product availability is subject to change. We reserve the right to limit the quantity of products supplied.
  • 2.3. Load Capacity & Intended Use: Information regarding maximum load capacities and intended applications for the BASIS system is detailed on our product specification pages and in our general installation guide.
    • The BASIS system is designed for light-to-medium load structures as specified in our product documentation. Use for other purposes, or with loads exceeding the specified maximums, is entirely at the customer's own risk.
  • 2.4. Installation & User Responsibility:
    • We provide a general installation guide, accessible on our website, detailing the assembly of the BASIS system. Installation requires regular tools and does not require specific expertise; it is designed as a DIY product.
    • However, the customer is solely responsible for:
      • Correct Site Assessment: Ensuring that the soil conditions at the installation site are workable for general construction (i.e., not a swamp, quicksand, or any other extraordinary condition that falls outside the scope of "any terrain" suitable for standard ground works).
      • Correct Product Selection: Choosing the appropriate set of BASIS products suitable for their specific structure, its dimensions, and anticipated loads.
      • Correct Load Distribution: Ensuring that the load from their structure is correctly distributed across the installed BASIS system.
      • Adherence to Instructions: Reading and strictly following all provided installation instructions and guidelines.
      • Local Regulations: Complying with all local building codes, regulations, and obtaining any necessary permits for their construction project.
    • Failure to adhere to these responsibilities may result in structural instability, product failure, and will invalidate any applicable warranties.
  • 2.5. Product Maintenance:
    • For optimal performance and longevity, it is advised that the BASIS system be checked annually for any signs of sinking, warping, or going out of level.
    • It is also advisable to apply appropriate grease to the metal threads of the adjustable posts periodically to ensure smooth operation and prevent seizing.

3. Pricing & Payment

  • 3.1. Currency: All prices are stated in Euro (€).
  • 3.2. VAT & Other Taxes:
    • All prices displayed on our website are inclusive of Estonian VAT (currently 22%) for sales within Estonia.
    • For Business Buyers located in other EU member states and providing a valid VAT identification number, VAT will be reverse-charged (0%) in accordance with EU regulations.
    • For sales to customers outside the European Union, Estonian VAT will not be charged.
    • Please note that for all international orders (outside Estonia), the customer is responsible for any applicable import duties, customs fees, and local taxes (such as sales tax, VAT, or GST) levied by their country of destination. These charges are not included in the product price or shipping costs and are the sole responsibility of the customer.
    • The applicable VAT amount (or the indication of reverse charge/no VAT charged) will be clearly itemized at checkout and on your final invoice.
  • 3.3. Shipping Costs: Shipping costs are determined by your chosen destination, the selected shipping method (e.g., Standard, Express Shipping), and the total weight and dimensions of your order. While we provide estimated shipping cost ranges for various countries and methods on our shipping page, the final, exact shipping cost for your specific order will be calculated and clearly displayed at checkout before you finalize your purchase.
  • 3.4. Total Price: The total price payable for the products, including VAT and shipping costs, will be clearly displayed before you confirm your order.
  • 3.5. Payment Methods: We accept payments via Visa and Mastercard.
  • 3.6. Payment Security: Payments are processed securely by our payment gateway provider Montonio Finance UAB, registry code: 305205122 (Lithuania). We do not store your full payment card details.

4. Ordering & Contract Formation

  • 4.1. Placing an Order: By placing an order through our website, you make an offer to purchase the products selected in your cart.
  • 4.2. Order Acceptance: Your order is considered accepted, and a binding contract between you and Strukturist OÜ is formed, only when we send you a separate "Order Acceptance Email" confirming the shipment of your order. An automatic "order received" or "payment confirmed" email does not constitute order acceptance.
  • 4.3. Customer Age Requirement: By placing an order, you confirm that you are at least 18 years of age or the legal age of majority in your jurisdiction, and are legally capable of entering into binding contracts.
  • 4.4. Customer Cancellation Right (Pre-Shipment): You may request to cancel your order before it has been dispatched. Such requests must be made by contacting our customer service via info@levelthebase.com. While we will make reasonable efforts to accommodate cancellation requests, we cannot guarantee cancellation if the order has already entered the shipping process. If successful, a full refund will be issued.
  • 4.5. Our Right to Refuse/Cancel: We reserve the right to refuse or cancel any order at our discretion, including but not limited to cases of product unavailability, payment fraud, incorrect pricing, or if the customer's request is outside the scope of our intended use. If we cancel an order after payment, we will issue a full refund.

5. Shipping & Delivery

  • 5.1. Shipping Zones: We currently ship to the following countries:
    • European Union Member States: Austria, Belgium, Bulgaria, Croatia, Cyprus, Czechia, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden.
    • Other European Countries: Norway, Switzerland, United Kingdom.
    • North America: Canada, United States of America (USA).
    • Oceania: Australia, New Zealand.
    • Asia: Japan, Singapore, South Korea.
  • 5.2. Delivery Times: Estimated delivery times are 3-5 business days for Baltics and Nordics, 7-14 business days for other EU countries from the date of order acceptance. These are estimates and not guaranteed.
  • 5.3. Delivery Process: Products will be delivered to the address provided by you during checkout.
  • 5.4. Risk of Loss: The risk of loss or damage to the products passes to you upon delivery to your specified address.
  • 5.5. Delivery Failure (Customer's Fault): If delivery fails due to reasons attributable to the customer (e.g., incorrect address provided, failure to collect the package from a postal office or courier depot within the specified timeframe), the customer is responsible for any additional costs incurred, including re-shipping fees. If the order is ultimately returned to us and cancelled due to delivery failure caused by the customer, we reserve the right to deduct re-shipping costs from any refund issued.
  • 5.6. Damaged or Missing Items on Receipt: You must inspect the package and products immediately upon receipt. Any claims for damaged or missing items must be reported to us within 96 hours of delivery, with photographic evidence where possible. Upon verification of a valid claim, we will dispatch a replacement for the damaged or missing items at no additional cost to you.
  • 5.7. Delayed or Lost Shipments: While we strive for timely delivery, unforeseen delays may occur. If your shipment is significantly delayed, or confirmed lost by the carrier, please contact us. We will initiate an investigation with the carrier and, depending on the outcome, arrange for a reshipment or refund.

6. Right of Withdrawal (For Consumers Only)

  • 6.1. 14-Day Right: As a Consumer, you have the right to withdraw from this contract within 14 days without giving any reason.
  • 6.2. Withdrawal Period: The withdrawal period will expire after 14 days from the day on which you acquire physical possession of the goods.
  • 6.3. Exercising the Right: To exercise the right of withdrawal, you must inform us of your decision by a clear statement via an email to info@levelthebase.com within the 14-day period.
  • 6.4. Return of Goods: You must send back the goods without undue delay and in any event not later than 14 days from the day on which you communicate your withdrawal from this contract to us.
  • 6.5. Return Conditions: The goods must be returned in their original condition, unused, and in their original packaging where possible. For the BASIS system, this implies the product must be unassembled and in its original, undamaged condition.
  • 6.6. Refund: We will reimburse to you all payments received from you, excluding the costs of initial delivery (if initial delivery was not free), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.
  • 6.7. Cost of Return Shipping: The customer is responsible for the direct cost of returning the goods.

7. Legal Guarantee of Conformity & Warranty

  • 7.1. Legal Guarantee (For Consumers Only): As a Consumer, you benefit from a legal guarantee of conformity for a period of two (2) years from the date of delivery. This means we are liable for any lack of conformity which exists at the time when the goods were delivered and becomes apparent within this period.
  • 7.2. Claim Process: To make a claim under the legal guarantee you must provide: proof of purchase, clear photos of the alleged defect, and, where reasonably possible, return the product in its original packaging.
  • 7.3. Scope of Guarantee/Warranty: The legal guarantee does NOT cover:
    • Damage caused by misuse, negligence, or improper installation not in accordance with the provided instructions and guidelines (as outlined in Section 2.4).
    • Damage resulting from loading the product with weight exceeding its specified maximum load capacity.
    • Damage caused by unauthorized modifications or repairs.
    • Normal wear and tear.
    • Damage caused by external factors (e.g., accidents, natural disasters, vandalism, extreme weather not typical for the product's design).
    • Defects due to non-compliance with the recommended maintenance (as outlined in Section 2.5).
  • 7.4. Assessment: All claims will be assessed by Strukturist OÜ or our authorized experts to determine if the defect is covered by the legal guarantee or warranty. Our determination regarding whether a defect is covered (e.g., if the product was loaded with more weight than specified in its specs) shall be conclusive.
  • 7.5. Disclaimer of Other Warranties: To the maximum extent permitted by applicable law, we disclaim all other warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

  • 8.1. General: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the products; (b) any conduct or content of any third party on the products; (c) any content obtained from the products; and (d) unauthorized access, use or alteration of your transmissions or content.
  • 8.2. Maximum Liability: Our total liability to you for any claims arising out of or relating to these Terms or the products, whether in contract, tort, or otherwise, shall not exceed the amount you paid to us for the products.
  • 8.3. Non-Excludable Liability (Crucial for Consumers): Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be excluded or limited by applicable law, particularly under Estonian consumer protection laws. This limitation of liability does not affect your legal guarantee rights as a consumer.

9. Dispute Resolution

  • 9.1. Governing Law: These Terms of Sale shall be governed by and construed in accordance with the laws of the Republic of Estonia.
  • 9.2. Jurisdiction: Any disputes arising from these Terms of Sale shall be subject to the exclusive jurisdiction of the Estonian courts, specifically, Harju County Court.
  • 9.3. Consumer Disputes (ADR/ODR): For consumers, if a dispute cannot be resolved amicably, you may contact the Estonian Consumer Protection and Technical Regulatory Authority (Tarbijakaitse ja Tehnilise Järelevalve Amet) for assistance.
  • 9.4. Customer Support & Complaint Handling: Should you have any inquiries or grievances regarding our products or these Terms, you are requested to communicate with us via our dedicated email: info@levelthebase.com. We aim to respond to all inquiries and complaints within 7 working days.

10. Miscellaneous Provisions

  • 10.1. Force Majeure: If performance of this Agreement or any other obligation under this Agreement is prevented, restricted, or interfered with by causes beyond either Party's reasonable control ("Force Majeure Event"), and if the Party unable to carry out their obligations gives the other Party prompt written notice of the circumstances, then the obligations of the Party invoking this provision shall be suspended to the extent necessary by such circumstances. A "Force Majeure Event" shall include, but is not limited to, acts of God, fire, explosion, vandalism, flood, storm, illness, injury, earthquake, general unavailability of essential materials, orders of military or civil authority, national emergencies, riots, strikes, lock-outs, work stoppages, or other labor disputes. The Party excused by such events shall use all reasonable efforts under the circumstances to avoid or remove such causes of non-performance and shall proceed to perform with reasonable dispatch whenever such causes are removed or cease.
  • 10.2. Entire Agreement: This Agreement contains the entire Agreement of the parties regarding the subject matter of this Agreement, and there are no other promises or conditions in any other Agreement, whether oral or written.
  • 10.3. Waiver of Contractual Rights: The failure of either Party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that Party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
  • 10.4. Severability: If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
  • 10.5. Assignment: This Agreement shall be binding upon and inure to the benefit of each Party's successors and assignees. Neither party may assign this Agreement, in whole or in part, without the other Party's prior written consent; provided, however, that the sale of any portion of the assets of either Party, or any of its subsidiaries, or its acquisition by merger into another entity, shall not be deemed an assignment of this Agreement by such Party.
  • 10.6. Headings: The section and paragraph headings appearing in this Agreement are inserted only as a matter of convenience and in no way define, govern, limit, modify, or construe the scope or extent of the provisions of this Agreement to which they may related. Such headings are not part of this Agreement and shall not be given any legal effect.
  • 10.7. Changes to Terms: We reserve the right to update or modify these Terms of Sale at any time. The Terms applicable to your purchase will be those in effect at the time your order was accepted.
  • 10.8. Prohibited Website Use and Data Scraping:
    • You are prohibited from using our website to engage in any activity that is unlawful, fraudulent, or harms us or any third party. This includes, but is not limited to:
      • Using our brand, content, or intellectual property without our explicit written consent.
      • Unauthorized or excessive automated data collection, scraping, crawling, or extracting of any content, data, or information from our website for commercial purposes, competitive intelligence, or any purpose that harms our legitimate interests.
      • Introducing any viruses, worms, or other malicious code.
      • Attempting to gain unauthorized access to any part of our website or systems.
  • 10.9. Governing Language: The governing language of these Terms of Sale and all communications relating to them shall be English.
  • 10.10. Privacy Policy: Our Privacy Policy, available at levelthebase.com/privacy-policy, explains how we collect, use, and protect your personal data. By agreeing to these Terms of Sale, you also agree to our Privacy Policy.
